Legal
Terms of Service
These terms govern the use of this website and every wholesale order we accept. We supply businesses only, so they are written for a business relationship rather than a consumer one.
Section 1Who these terms apply to
This website and the wholesale service behind it are operated by APEXX GLOBAL LLC, a limited liability company registered in the State of New Mexico, USA, trading as APX Wholesale ("we", "us"). Our registered address and full provider details are set out in our Legal Notice. They are intended for businesses: retailers, distributors, e-commerce sellers and corporate buyers. We do not supply consumers.
By requesting a quote, opening an account or placing an order you accept these terms on behalf of the company you represent, and you confirm you are authorised to do so.
Section 2Wholesale accounts
Orders can only be confirmed on an approved wholesale account. The application asks for your company details and for documentation confirming that the business is registered and trading. What counts as acceptable documentation differs by country, so we request the specific documents through your account rather than listing them in advance.
Applications are reviewed by a person and are normally answered within 1 to 2 business days. We may decline an application without giving a reason.
You are responsible for keeping your account details accurate and your login credentials confidential. Tell us promptly if company details change, because they appear on invoices and shipping documents.
Section 3Quotes and orders
Product listings, catalogs and prices shown or discussed are an invitation to enquire, not an offer. The binding document is the quote we issue for your specific requirement.
A quote states the products, quantities, unit prices, currency, the applicable Incoterm and the estimated delivery window at the time of issue. Availability is confirmed at the moment of quoting and can change until the order is confirmed.
A contract is formed when you confirm the quote and we accept the resulting order. We may decline an order, for example where stock is no longer available or the destination cannot be served properly.
- Minimum order quantities are set per product line and stated on the quote. Some lines start at 10 units, some at 12, some at 100.
- There is no minimum order value.
- Where a line cannot be filled in full, you are told and asked how to proceed. Nothing is substituted without your approval.
Section 4Prices, currency and payment
Wholesale prices are quote-based and valid for the period stated on the quote. Prices are settled directly in EUR, USD, GBP or TRY; other currencies can be used when paying by card.
Orders are paid in advance, before the goods are prepared for dispatch. We accept bank transfer, PayPal and card payments. Card payments carry a 4% processing fee. On orders of 10,000 USD and above, payment can run through an independent escrow provider, which holds the funds and releases them once the agreed conditions of the order are met.
We do not sell on credit and do not offer deferred payment terms. Bank charges and any currency conversion applied by your bank or card issuer are yours.
Section 5Changes and cancellation
An order can be cancelled free of charge within 3 hours of being placed. After that it has entered processing and the logistics arrangements have started, so it can no longer be cancelled.
Changes are handled separately and have no fixed cut-off. Contact us at any point before the goods are handed to the carrier and we will tell you what is still possible. Changes that affect price, quantity or timing are confirmed in writing before they are applied.
Section 6Delivery, Incoterms and risk
We ship worldwide. Most orders are supplied DDP (Delivered Duty Paid), which means we arrange transport, file the import entry and settle duties and import taxes. Where operational or regional conditions require it, an order is supplied DAP (Delivered at Place) instead, and clearance and duties are then yours. The applicable Incoterm is always stated on the quote before you confirm.
Transit times given are estimates, not guarantees. For cosmetics and fragrance orders to Europe, the United Kingdom, North America and the Middle East, the estimated transit time is 15 to 20 days from dispatch.
Toner and printing supplies ship on their own lanes and are usually faster. Estimated transit from dispatch:
- United States: 2 to 3 business days. In peak periods this can extend to 10 business days, and we tell you when it applies to your order rather than leaving you to read it off a tracking page.
- United Kingdom: 2 to 4 business days.
- Europe: about 10 business days.
- Gulf countries: about 10 business days.
Other toner destinations, including Canada and Australia, are quoted per order.
Risk and title pass in accordance with the Incoterm stated on the quote. Providing a correct and accessible delivery address, and unloading the goods on arrival, are your responsibility.
Section 7Inspection, damage and shortages
Check the delivery against the packing list before signing for it. Transport damage must be reported within 24 hours of delivery, with photographs or video clearly showing the outer box, the packaging and the affected goods. Reports made later, or without visual evidence, cannot be processed as a claim.
Shortages should be reported with the order number and the difference between the packing list and what arrived, so we can check it against the dispatch records.
Section 8Returns
Returns are governed by our Returns and Refunds Policy. In short: we accept returns for wrong or incomplete shipments, faulty goods and transport damage reported within 24 hours with evidence. Cosmetics and fragrance whose seal, film or packaging has been opened, tested or used cannot be returned for hygiene and safety reasons, and change of mind is not a valid reason for return.
Section 9Products, brands and compliance
We supply genuine branded goods sourced through our supplier network, and we pass on the product documentation we hold for them.
You are responsible for confirming that the products you order may lawfully be imported, marketed and sold in your market, including any labelling, registration or licensing requirement that applies there. Where a market requires an import licence or a product registration, that sits with the importer.
Brand names, trade marks and product images belong to their respective owners. Nothing in these terms grants you a licence to use them beyond reselling the goods you have bought.
Section 10Website content and intellectual property
The text, layout and graphics of this website belong to APX Wholesale unless stated otherwise. You may not copy or republish substantial parts of it without our permission.
The website is provided as it is. We keep the information on it current, but product availability, prices and lead times move, which is why the quote rather than the website is the binding document.
Section 11Liability
Nothing in these terms limits liability where it cannot lawfully be limited.
Subject to that, our total liability arising out of or in connection with an order is limited to the value of that order. We are not liable for indirect or consequential loss, including loss of profit, loss of contracts, loss of anticipated savings or losses arising from your onward sale of the goods.
This reflects the fact that we supply businesses, which price and insure their own commercial risk.
Section 12Circumstances outside our control
We are not in breach of these terms where performance is prevented or delayed by events outside our reasonable control, including carrier failures, port and customs delays, supplier failure, extreme weather, industrial action, sanctions or changes in law. Where such an event affects your order we tell you and agree the way forward with you.
Section 13Confidentiality
Quotes, prices and commercial terms we send you are confidential and given for your own purchasing decisions. Please do not publish or share them outside your business.
Section 14Changes to these terms
We may update these terms. The version published on this page at the time your order is confirmed is the version that applies to that order. Material changes are reflected in the date shown at the top of this page.
Section 15Governing law and disputes
These terms and any order placed under them are governed by the laws of the State of New Mexico, United States, where APEXX GLOBAL LLC is established, and disputes are subject to the competent courts of that jurisdiction.
Before anything formal, contact us. Most issues in wholesale come from an unclear document or a missed detail, and they are resolved faster in a conversation than in correspondence.
